Please read these Terms & Conditions carefully before using the daiyra.ae website or any services offered by DAIYRA 360 COMMUNICATIONS ("us", "we", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part, please do not use our Service.

1. Acceptance of Terms

By accessing daiyra.ae or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms & Conditions in full. We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Services

Daiyra 360 Communications provides digital marketing, AI solutions, web and app development, content production, and related services. Specific deliverables, timelines, and payment terms for each engagement are defined in a separate Scope of Work (SOW) or Service Agreement signed between both parties.

3. Intellectual Property

All content on daiyra.ae — including text, graphics, logos, and code — is the property of Daiyra 360 Communications and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Upon full payment, intellectual property developed specifically for a client project is transferred to the client as agreed in the relevant SOW. General frameworks, tools, and methodologies developed by Daiyra remain our property.

4. Client Responsibilities

As a client or user of our services, you agree to:

  1. Provide accurate and complete information required for service delivery
  2. Grant timely approvals and feedback as reasonably requested
  3. Ensure that materials you provide do not infringe any third-party rights
  4. Make payments in accordance with the agreed schedule
  5. Not use our services for any unlawful or prohibited purpose

5. Payment Terms

Payment terms are specified in the individual SOW or invoice. Unless otherwise agreed:

  1. Invoices are due within the period stated on the invoice
  2. Late payments may attract a delay charge as specified in the agreement
  3. We reserve the right to pause or suspend services for overdue accounts
  4. All fees are exclusive of applicable taxes unless stated otherwise

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives the termination of the agreement. Neither party will disclose the other’s confidential information to third parties without prior written consent, except as required by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Daiyra 360 Communications shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service or our deliverables. Our total liability in any matter shall not exceed the total fees paid by you in the three (3) months preceding the claim.

8. Warranties & Disclaimers

We provide our services on a professional best-effort basis. While we strive for quality and accuracy, we do not warrant that:

  1. The Service will be uninterrupted, error-free, or fully secure
  2. Results from digital marketing campaigns are guaranteed
  3. Third-party platforms (Google, Meta, etc.) will maintain their policies or performance

We disclaim all implied warranties to the extent permitted by law.

9. Third-Party Links & Platforms

Our Service and campaigns may involve or link to third-party platforms and websites (e.g. Google, Meta, LinkedIn). We are not responsible for the content, policies, or practices of those platforms. Your use of third-party services is subject to their own terms and conditions.

10. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable SOW. Upon termination:

  1. All outstanding invoices for work completed become immediately due
  2. Each party shall return or destroy the other’s confidential materials
  3. Intellectual property rights to completed and paid work transfer as agreed

We reserve the right to terminate access to the Service immediately if you breach these Terms.
